1. Introduction

Welcome to Manivize. By accessing our website and using our services, you agree to be bound by these Terms of Service. Please read them carefully.

2. Services

Manivize provides AI infrastructure and intelligent web design services ("Services"). The specific details, features, and deliverables of the Services will be outlined in your chosen pricing tier (Mosaic, Momentum, or Maximize) or custom agreement.

3. Payment and Fees

• Setup Fees: All setup fees are non-refundable as they cover the immediate time, labor, and infrastructure costs required to build your system.
• Monthly Retainer: Services are billed on a month-to-month basis unless otherwise specified. Payments are due at the beginning of each billing cycle.
• Domain Registration Fee: For Website clients, domain registration is a one-time fee paid directly by the Client and is separate from Manivize's setup fee. This fee covers the cost of securing the Client's chosen business domain in their name. Manivize ensures that all domains are registered under the Client's legal name and details, and the domain remains the Client's property at all times — both during and after the service period. Manivize's one-time setup fee covers exclusively the time, labour, and expertise involved in website design, development, and AI systems implementation, and does not include domain registration or annual renewal costs.

4. Cancellation and Termination

You may cancel your monthly retainer at any time by providing a 30-day written notice via email to support@manivize.com. Upon cancellation, your services will remain active until the end of the notice period. Manivize reserves the right to suspend or terminate services immediately if you breach these Terms or fail to make payments.

5. Client Responsibilities

You agree to provide timely access to necessary materials, information, and feedback required for us to perform the Services. Delays on your end may result in extended project timelines.

6. Intellectual Property

• All website designs, automation workflows, AI systems, and platform configurations built by Manivize remain the intellectual property of Manivize during the active agreement period at all times, regardless of payment of setup fees or monthly retainer.
• The Client is granted a non-exclusive licence to use the systems for the duration of their active retainer with Manivize.
• Upon termination of services, the Client's access to Manivize-built systems will cease.
• The Client retains ownership of all content they provide, including logos, images, written copy, and business information.
• Upon termination of services, the Client will receive a one-time export of their contact database in PDF or CSV format, comprising leads and client records entered into the system during the active service period. This export will be provided within 14 days of termination.

7. Limitation of Liability

Manivize provides infrastructure to capture and manage leads. We do not guarantee specific lead volumes, sales, or traffic. In no event shall Manivize be liable for any indirect, incidental, or consequential damages arising out of or related to our services.
